Strategic buyers are buying the 3 years of R&D they failed at, or the customer base they can't break into. To them, you're not just a business—you're a strategic weapon.

Look at your top 3 competitors. If one of them bought you tomorrow, would they be doing it to “save” you or because they're “scared” of you?

If you don't know the answer, your business valuation is a gamble.
